Terms of Service

Carro is intended for businesses, their authorized employees, and shoppers interacting with participating stores. You must be able to form a binding contract and comply with these Terms. If you use Carro on behalf of a company or store, you represent that you are authorized to bind that organization.

• You are responsible for keeping account credentials secure and for activity under your account.
• You must provide accurate account, store, employee, and payment setup information.
• You must notify us promptly if you believe an account, device, checkout session, or credential has been compromised.
• We may suspend or restrict access if we believe an account is being misused, compromised, or used in violation of these Terms.

Retailers are responsible for the products, pricing, inventory, taxes, refunds, customer service, store policies, employee access, product images, product descriptions, and legal compliance of their own stores.

• Keep product prices, quantities, images, and availability accurate.
• Honor applicable refunds, returns, exchanges, consumer rights, and payment-card obligations.
• Use QR codes, checkout links, receipts, and manager tools only for lawful store operations.
• Ensure employees have appropriate permissions and remove access when it is no longer needed.

Carro may use Stripe and Stripe Connect for payment processing, connected-account onboarding, refunds, and payment status updates. Payment services are also governed by Stripe's terms and policies. Carro does not guarantee that a connected account will be approved by Stripe or remain eligible for payments.

Retailers are responsible for their own taxes, chargebacks, disputes, refunds, product fulfillment, and compliance with payment network rules unless a separate written agreement says otherwise.

You may not use Carro to:

• Violate laws, regulations, third-party rights, payment network rules, or platform policies.
• Sell illegal, unsafe, counterfeit, infringing, or otherwise prohibited goods or services.
• Interfere with, disrupt, scrape, reverse engineer, or attempt unauthorized access to Carro or its infrastructure.
• Upload malware, abusive content, deceptive content, or content that infringes intellectual property or privacy rights.
• Use Carro for fraud, spam, harassment, security testing without authorization, or activity that harms users, shoppers, stores, or Carro.

Carro and its logos, software, designs, workflows, documentation, and other materials are owned by Carro or its licensors and are protected by intellectual property laws. Subject to these Terms, Carro grants you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended business purposes.

You retain ownership of store content you upload or submit, such as store names, product photos, logos, product data, and descriptions. You grant Carro a license to host, display, process, transmit, and use that content as needed to provide, secure, support, and improve the service.

Carro may offer beta, preview, experimental, or early-access features. These features may change, break, or be discontinued. We may modify, suspend, or discontinue parts of the service, including features, integrations, pricing, or availability, subject to any separate written commitments we make.

Our Privacy Policy explains how we collect, use, and share personal information. By using Carro, you acknowledge our privacy practices.

Our Refund and Cancellation Policy explains shopper refunds, retailer refund responsibilities, cancellations, and platform billing expectations.

Our Pricing and Billing Disclosures explain current beta pricing status, required subscription disclosures, trial terms, renewal expectations, and cancellation information.

Carro is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Carro disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, and any warranties arising from course of dealing or usage of trade.

Carro does not provide legal, tax, accounting, payment-card, or regulatory advice. You are responsible for obtaining professional advice for your business and for confirming that your use of Carro complies with applicable laws.

To the maximum extent permitted by law, Carro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, goodwill loss, chargebacks, customer disputes, or the cost of substitute services.

To the maximum extent permitted by law, Carro's aggregate liability for claims arising out of or relating to the service or these Terms will not exceed the greater of amounts paid to Carro for the service in the three months before the claim or one hundred dollars ($100).

You will defend, indemnify, and hold harmless Carro from claims, damages, liabilities, losses, costs, and expenses arising from your store, products, content, employees, customer disputes, taxes, refunds, violations of law, or breach of these Terms.

You may stop using Carro at any time. We may suspend or terminate access if you violate these Terms, create risk for Carro or users, fail to maintain payment eligibility, or use the service unlawfully. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, indemnity, and dispute provisions.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, unless applicable law requires otherwise.

Before starting a formal dispute, you agree to first contact us at founder@carro-app.com with a written description of the issue, the relief requested, and the contact information we should use to respond. We will try to resolve the dispute informally for at least 30 days after receiving that notice.

If we cannot resolve the dispute informally, you and Carro agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by binding individual arbitration, rather than in court, except that either party may bring qualifying claims in small claims court and either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information, security, or unauthorized access rights.

The arbitration will be administered by the American Arbitration Association under its applicable rules, including the Consumer Arbitration Rules where they apply, and will take place in New York County, New York, by telephone, by video conference, or based on written submissions, as the arbitrator determines. The arbitrator may award the same individual remedies that a court could award, but only for the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

You and Carro agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative proceeding. Jury trials and class actions are not permitted under this arbitration agreement. If a court or arbitrator determines that this class-action waiver is unenforceable for a particular claim, then that claim must proceed in court and not in arbitration.
